Gateway Terms of Use

1. These terms
1.1 These terms govern your use of AFT Gateway ("Gateway"), a service provided by Auto Finance Technology Ltd, trading as AFT Group, company number 15121835 ("AFT", "we"). By creating an account you accept them on your own behalf and on behalf of the organisation you represent.
1.2 Gateway is a business service. It is not for consumers.
1.3 Gateway is separate from AFT Group's platforms. Your use of any platform is governed by the agreement for that platform, not by these terms.
2. Accounts
2.1 You must provide accurate account and organisation details and keep them current.
2.2 You confirm that you are authorised by your organisation to use Gateway and, where you sign a document, to bind your organisation to it.
2.3 Sign-in is by single-use code sent to your work email. You are responsible for the security of that mailbox and for all activity under your account. Tell us immediately at support@autofintech.co.uk if you believe your account has been used without authority.
2.4 An organisation's first user is its administrator and may invite, approve and remove other users. Only users flagged as signatories may sign.
3. Documents provided by AFT
3.1 AFT makes its own document templates available for completion and signature. Completing and signing a document in Gateway creates a binding agreement on the terms of that document; these terms do not vary it.
3.2 Where a document requires AFT's countersignature, AFT will countersign in the ordinary course and the executed copy will be available in your account and emailed to you. AFT is not obliged to countersign and may decline or request changes.
4. Documents you upload
4.1 You may upload your own document and request AFT's signature.
4.2 You warrant that you have the right to upload it, that it does not infringe any third party's rights, that it contains no malicious code, and that it contains no personal data beyond what the document needs and no special category data.
4.3 An uploaded document is a request. AFT will review it before signing and may decline, propose changes, or require its own document instead. AFT is not bound by an uploaded document until it has signed it in Gateway.
4.4 Uploaded documents are scanned, stored, logged and retained as described in the Privacy Notice.
5. Electronic signatures
5.1 Documents are signed electronically within Gateway. You agree that an electronic signature applied through your authenticated account has the same effect as a handwritten signature, and that you will not contest a document's validity on the ground that it was signed electronically.
5.2 Gateway records the signatory, email address, time, single-use code verification and document version, and generates a completion certificate. You agree that the completion certificate and Gateway's log are evidence of the signing.
5.3 If your organisation requires a handwritten signature or a specific signing method for any document, do not sign it in Gateway; contact us instead.
6. Assurance documentation
6.1 Some assurance material is available to any signed-in user. Other material is released only on request, subject to AFT's approval and to a non-disclosure agreement — AFT's group NDA signed in Gateway, an existing agreement between us that contains confidentiality terms, or your own NDA if AFT approves it.
6.2 Assurance material is confidential. You may use it only to assess AFT as a counterparty, may not publish or quote it externally, may not remove watermarks, and may share it only with those in your organisation who need it. Access may be time-limited, is personal to the user, and is logged.
AFT may refuse, limit or withdraw access at any time.
7. Acceptable use
7.1 You must not: use Gateway for any unlawful purpose; attempt to access another organisation's data or any part of Gateway you are not authorised to use; upload malicious code; interfere with Gateway's operation; or use automated means to access it without our consent.
7.2 AFT may suspend or close accounts that breach these terms.
8. Availability and changes
8.1 We aim to keep Gateway available but do not guarantee it. We may change, suspend or withdraw features on notice where practicable.
8.2 We may update these terms. Material changes will be notified in Gateway or by email and take effect 30 days after notice, or on your next sign-in if later.
9. Intellectual property
9.1 Gateway, its templates and its content belong to AFT or its licensors. You may use them only as these terms allow. Documents you upload remain yours; you grant AFT a licence to store, display, scan, review and sign them for the purposes of Gateway.
10. Liability
10.1 Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or anything that cannot be excluded by law.
10.2 AFT is not liable for loss of profit, business or goodwill or for indirect or consequential loss arising from use of Gateway.
10.3 AFT's total liability arising from Gateway in any 12-month period is limited to £10,000. Liability under any agreement signed in Gateway is governed by that agreement, not this clause.
10.4 Gateway stores documents as a convenience; you should keep your own copies of signed agreements.
11. Data protection
11.1 AFT processes personal data in Gateway as controller, as described in the Gateway Privacy Notice.
11.2 Where a document you complete or upload contains personal data of other people, you confirm you are entitled to include it.
12. General
12.1 These terms are the entire agreement about Gateway. They do not affect any agreement signed in Gateway.
12.2 If any provision is invalid, the rest continues. A failure to enforce a term is not a waiver. No third party has rights under these terms.

12.4 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
